Kiwi Rewards Program Terms

1. OVERVIEW

These Kiwi Rewards Program Terms (the "Program Terms") govern the Kiwi Rewards loyalty program (the "Program") offered by Kiwi Labs, LLC ("Kiwi", "we", "us" or "our"). The Program lets you earn loyalty points called "Kiwis" for taking certain actions in the Kiwi app, such as logging your food, referring friends, providing product feedback, or reaching membership and streak milestones.

These Program Terms are part of, and incorporated by reference into, the Kiwi Terms of Service (the "Terms"). Any capitalized terms not defined here have the meaning given in the Terms. If there is a conflict between these Program Terms and the Terms with respect to the Program, these Program Terms control. By participating in the Program, you agree to these Program Terms.

We may offer the Program in some regions and not others, and the Program is void where prohibited by law.

2. ELIGIBILITY

To participate in the Program you must:

• be at least 18 years old (or the age of majority in your jurisdiction);
• have a valid, active Kiwi account that is in good standing and complies with the Terms; and
• reside in a jurisdiction where the Program is offered and not prohibited.

The Program is intended for individual, personal use only. You may participate through one account only. Maintaining or using multiple accounts to earn Kiwis, or participating on behalf of any business or organization, is not permitted.

3. EARNING KIWIS

You can earn Kiwis by completing qualifying actions that we make available from time to time. Current earning actions may include, for example, logging food each day, referring new members, providing product feedback, and reaching membership anniversary or streak milestones. The specific actions, the number of Kiwis awarded, how often an action can be rewarded, and any limits or caps are shown in the app and may change at any time.

The earning actions and point values displayed in the app are illustrative and are not a promise of future availability. We may add, change, suspend, limit, or remove any earning action, point value, or cap at any time, with or without notice, in our sole discretion.

Kiwis are credited only after we verify that the qualifying action has been completed and meets the applicable conditions. Crediting may be delayed, and some actions (such as referrals) are only credited once the qualifying condition is met. We may withhold Kiwis pending verification.

4. REFERRAL REWARDS

You may earn Kiwis by referring new users with your personal referral code or link. A referral qualifies for a reward only when the referred person is a genuinely new Kiwi user who signs up using your code and completes the qualifying condition we specify in the app (for example, starting a paid subscription). The number of Kiwis awarded per qualifying referral, and the maximum number of referrals you can be rewarded for, are shown in the app and may change at any time.

The following are prohibited and will not earn Kiwis:

• referring yourself, or creating or using additional or fake accounts;
• referring people who are not genuine new users, or who do not intend to use Kiwi;
• publishing your referral code on coupon, deal, or incentive-sharing sites, or distributing it through spam, paid placement, or misleading promotion; and
• any other use that is fraudulent, abusive, or designed to game the Program.

We may withhold, reverse, or claw back Kiwis from referrals that we determine, in our sole discretion, do not qualify or that violate these Program Terms — including after the Kiwis have been credited.

5. NATURE OF KIWIS — NO CASH VALUE

KIWIS ARE A PROMOTIONAL LOYALTY BENEFIT. THEY ARE NOT MONEY, CURRENCY, OR YOUR PERSONAL PROPERTY.

Kiwis have no cash value, are not redeemable for cash, and cannot be sold, transferred, assigned, gifted, combined across accounts, or inherited. You have no ownership or vested right in any Kiwis, and a Kiwi balance is not a stored-value or prepaid account, a bank deposit, or a security. The number of Kiwis associated with your account does not represent any monetary value held by us on your behalf.

We may correct your Kiwi balance at any time if we determine that Kiwis were credited in error, due to a malfunction, or in violation of these Program Terms.

6. REDEEMING KIWIS

Where redemption is available, you may be able to redeem Kiwis for rewards, benefits, or features that we make available from time to time. The available rewards, the number of Kiwis required, and any conditions or limits will be described in the app at the time of redemption. We may add, change, or discontinue any reward, and change the number of Kiwis required to redeem it, at any time.

Redemptions are final and, except as required by law, are not reversible, refundable, or exchangeable once processed. Displaying a Kiwi balance does not guarantee the availability of any particular reward. If we determine that Kiwis used in a redemption were earned or held in violation of these Program Terms, we may cancel or reverse the redemption.

Redemption may not be available in all regions and may be introduced, suspended, or withdrawn at our discretion.

7. EXPIRATION AND FORFEITURE

Your Kiwis and your ability to participate in the Program may be forfeited, and any unredeemed Kiwis may be cancelled, without compensation, if:

• you close your account or your account is terminated;
• your account is inactive for an extended period that we specify;
• you violate these Program Terms or the Terms, or we suspect fraud or abuse; or
• the Program is discontinued.

Where we apply an inactivity or expiration period to earned Kiwis, we will describe it in the app. Unredeemed Kiwis have no value upon forfeiture or expiration.

8. TAXES

You are solely responsible for any taxes, levies, or other charges that may apply to your participation in the Program or to any Kiwis you earn or redeem. We are not responsible for determining or paying any such taxes on your behalf, and we may report rewards to tax authorities where required by law.

9. FRAUD, ABUSE, AND SUSPENSION

We may monitor Program activity for fraud and abuse. If we determine, in our sole discretion, that you have engaged in any fraudulent, abusive, manipulative, or otherwise improper activity in connection with the Program — including using bots or automated means, exploiting bugs, misrepresenting actions, or violating these Program Terms — we may, without notice and without liability:

• cancel, withhold, reverse, or claw back any Kiwis (including redeemed Kiwis);
• suspend or terminate your participation in the Program; and
• suspend or terminate your Kiwi account in accordance with the Terms.

Our determinations regarding eligibility, earning, and redemption are final.

10. CHANGES TO OR TERMINATION OF THE PROGRAM

We may modify, suspend, or discontinue the Program, in whole or in part, or change these Program Terms, at any time and in our sole discretion. If we make material changes, we will update the "Updated" date above and, where appropriate, provide notice in the app. Changes are effective when posted unless we state otherwise. Your continued participation in the Program after changes take effect constitutes your acceptance of the updated Program Terms.

If we discontinue the Program, we may, where practical, provide a period during which you can redeem eligible Kiwis, after which unredeemed Kiwis will be forfeited without compensation, except as required by law.

11. DISCLAIMERS AND DISPUTES

The Program is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties relating to the Program, and we are not liable for any loss of Kiwis or rewards resulting from errors, interruptions, or discontinuation of the Program. The limitations of liability, governing law, dispute resolution, and all other general provisions set out in the Terms apply to the Program and to these Program Terms and are incorporated here by reference.

Nothing in these Program Terms limits any rights you may have that cannot be excluded under applicable law.
